2. Intended users
Our Site, products, and services are intended for researchers and research-related users. The Site is not intended for children under 16.
3. Use of the Site
You agree to use the Site only for lawful purposes and in a manner that does not violate any applicable law, regulation, or the rights of others.
You may not:
– use the Site in a way that could damage, disable, overburden, or impair the Site;
– attempt to gain unauthorized access to the Site, accounts, servers, or related systems;
– interfere with the security or operation of the Site;
– submit false, misleading, or fraudulent information;
– use the Site to distribute malware, harmful code, spam, or other unauthorized material; or
– copy, scrape, reproduce, or exploit Site content in a way that violates our rights or applicable law.
4. Accounts
The Site allows account creation. If you create an account, you are responsible for:
– providing accurate and current information;
– maintaining the confidentiality of your login credentials; and
– all activities that occur under your account.
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe create security, legal, or operational risk.
5. Products and product information
We aim to present product information as accurately as reasonably possible. However, product descriptions, availability, specifications, pricing, images, and other content may be updated, corrected, or changed without notice.
We do not guarantee that all product descriptions or Site content will always be complete, current, or error-free.
6. Research use, user responsibility, and restriction on reverse engineering
Our products are intended for research-related use only, as described on the Site or in accompanying documentation. You are responsible for determining whether a product is suitable for your intended research purpose, application, and workflow. You are also responsible for proper handling, storage, use, and compliance with all applicable laws, regulations, institutional requirements, laboratory practices, and safety standards.
Except as expressly authorized by Anan-AB in a separate written agreement signed by an authorized representative of Anan-AB, you must not, and must not permit, assist, encourage, or enable any third party to:
– reverse engineer, deconstruct, disassemble, sequence, characterize for reconstruction, or otherwise analyze any product for the purpose of determining, inferring, reproducing, reconstructing, or enabling the production of its amino-acid sequence, nucleic-acid sequence, variable-region sequence, epitope-binding sequence, structure, formulation, manufacturing method, or other proprietary characteristics;
– use mass spectrometry, peptide mapping, protein sequencing, nucleic-acid sequencing, or any other analytical, computational, or experimental method for any purpose prohibited by the preceding bullet;
– manufacture, have manufactured, express, synthesize, reproduce, modify, optimize, sell, transfer, distribute, or otherwise commercialize any antibody, antibody fragment, reagent, derivative, or product that is based on, derived from, or informed by information obtained through such prohibited activity; or
– disclose, publish, transfer, deposit, submit, or make available to any person, database, repository, or other third party any sequence, analytical result, reconstruction, or other information obtained through such prohibited activity.
For clarity, routine use of a product in accordance with its product documentation for permitted research purposes is not prohibited by this Section. This Section does not grant you any right, title, interest, or license, whether express, implied, by estoppel, or otherwise, in any Anan-AB intellectual property or proprietary information, except the limited right to use the purchased product for its permitted research purpose.
This Section applies to you and, where applicable, to your institution, organization, personnel, contractors, collaborators, affiliates, and any other person to whom you provide or make a product available. You are responsible for ensuring that those persons comply with this Section.
7. Orders
By placing an order through the Site, you represent that:
– the information you provide is accurate and complete;
– you are authorized to use the selected payment method; and
– you are authorized to place the order on behalf of yourself or your organization, if applicable.
All orders are subject to review and acceptance by Anan-AB. We reserve the right to refuse, limit, cancel, or modify any order at our discretion, including where we suspect fraud, misuse, pricing error, compliance concerns, product availability issues, or other legitimate business reasons.
8. Pricing and payment
Prices listed on the Site are subject to change without notice.
Current payment methods include:
– Authorize.net (including credit card processing); and
– bank transfer.
Payment must be received or authorized before an order is processed, except where we explicitly agree otherwise.
If a pricing, description, or technical error occurs, we reserve the right to correct it and, where appropriate, cancel or adjust the affected order.
9. Shipping
At this time, online checkout and standard shipping through the Site are limited to the United States. International research orders may be considered separately upon inquiry.
Shipping timelines, methods, and delivery details may vary by product, availability, destination, and carrier. Any shipping estimates provided are estimates only unless expressly stated otherwise.
We are not responsible for delays caused by carriers, weather, supply conditions, or other events outside our reasonable control.
10. Returns, cancellations, and related policies
Our Refund and Returns Policy governs return requests, replacements, refunds, and eligible cancellations and is incorporated into these Terms by reference.
Please review our Refund and Returns Policy for the conditions, deadlines, authorization requirements, inspection procedures, shipping responsibility, and available remedies that may apply to your order.
If there is any conflict between these Terms and the Refund and Returns Policy regarding returns, refunds, replacements, or cancellations, the Refund and Returns Policy will control for those matters.
11. Contact forms and inquiries
If you submit an inquiry through the Site, you agree not to submit unlawful, infringing, malicious, or misleading content. We may review inquiry submissions for business, security, and administrative purposes.
12. Intellectual property and proprietary product information
All content on the Site, including text, graphics, branding, design, layout, logos, images, product presentation, and other materials, is owned by or licensed to Anan-AB unless otherwise stated. In addition, the sequence information, variable-region information, epitope-binding information, structures, formulations, product designs, manufacturing methods, know-how, analytical data, and other non-public information relating to Anan-AB products are proprietary to Anan-AB or its licensors. The purchase or use of a product does not transfer ownership of, or grant any license under, any patent, trade secret, copyright, trademark, or other intellectual-property right relating to that product or its proprietary characteristics.
Any information obtained in violation of Section 6 is deemed proprietary and confidential information of Anan-AB. You must promptly notify Anan-AB at info@anan-ab.com if you become aware of any actual or suspected unauthorized reverse engineering, sequence determination, reconstruction, manufacture, use, disclosure, or distribution involving an Anan-AB product or proprietary product information.
No limitation in these Terms is intended to restrict any right that cannot lawfully be restricted. To the extent permitted by applicable law, Anan-AB may seek all available remedies for a breach of this Section or Section 6, including injunctive or equitable relief, damages, and recovery of reasonable costs and attorneys’ fees where available.
13. Privacy
Your use of the Site is also subject to our Privacy Policy. If there is a conflict between these Terms and the Privacy Policy regarding privacy practices, the Privacy Policy controls with respect to privacy matters.
14. Third-party services and links
The Site may use or link to third-party services, including payment processors and other external resources. We are not responsible for the availability, content, terms, or privacy practices of third-party services or websites.
15. Disclaimer of warranties
The Site and its content are provided on an “as is” and “as available” basis to the fullest extent permitted by law.
We do not make warranties, express or implied, regarding:
– uninterrupted availability of the Site;
– accuracy, completeness, or reliability of Site content;
– absence of errors, viruses, or harmful components; or
– fitness of the Site or products for a particular purpose beyond what is expressly stated by us.
To the fullest extent permitted by law, we disclaim all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
16. Limitation of liability
To the fullest extent permitted by law, Anan-AB LLC and its officers, employees, affiliates, agents, contractors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to:
– your use of or inability to use the Site;
– errors or interruptions on the Site;
– delays in order processing or shipping;
– loss of data;
– unauthorized access to your account or information; or
– use or misuse of products purchased through the Site.
To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Site or an order will not exceed the amount you paid to us for the specific product or order giving rise to the claim.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
17. Indemnification
You agree to defend, indemnify, and hold harmless Anan-AB LLC and its officers, employees, affiliates, agents, contractors, and service providers from and against claims, liabilities, damages, losses, and expenses arising out of or related to:
– your misuse of the Site;
– your violation of these Terms;
– your violation of applicable law;
– your infringement of any rights of another person or entity; or
– your or your personnel’s, contractors’, collaborators’, affiliates’, or transferees’ breach of Section 6 or Section 12, including prohibited reverse engineering, sequence determination, reconstruction, manufacture, disclosure, or commercialization.
18. Termination
We may suspend, restrict, or terminate your access to the Site or your account at any time, with or without notice, if we reasonably believe you have violated these Terms or created legal, security, or operational risk.
19. Governing law
These Terms are governed by the laws of the State of Texas and applicable United States law, without regard to conflict-of-law principles.
20. Changes to these Terms
We may update these Terms from time to time. If we do, we will post the updated version on the Site and revise the effective date above. Your continued use of the Site after updated Terms are posted constitutes acceptance of the revised Terms, to the extent permitted by law.
